Annual General Meeting

The final provisions of the Companies Act (2006) were brought into force last October (2009). The new legislation, as well as introducing a number of changes, allows companies greater flexibility in choosing how they operate.

One of the major changes was the removal for private companies of the sometimes costly requirement to hold an Annual General Meeting. Shareholders can still, of course, demand a meeting if at least 10% require it. They also have the right to receive accounts.

The Board of the ITT is currently undertaking a review of the entire Articles of the Institute. One of the issues under review is the question of whether to continue to hold an AGM, now that it is no longer a legal requirement. Before making a decision on whether to recommend the removal of the requirement, the Board would like to hear the views of members. If you have any comments, please contact Chairman, Steven Freudmann on steven@itt.co.uk

For the last few years the only formal business on the agenda at the Institute’s AGM has been the re-appointment of the auditors. Attendance at our AGM’s has averaged just fifteen, most of whom were Board members. The removal of such a requirement would save the Institute approximately £4,000 per annum. Your views please!
